1. Introduction

Welcome to Koubou, a product of AtMyBase LLC ("we," "our," or "us"). These Terms and Conditions govern your access to and use of our website at koubou.tools and all related services, features, content, and applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Services.

2. Description of Services

Koubou provides a collection of specialized digital tools bundled together in a single platform. Our tools are designed to help users create, analyze, and transform their work. The specific tools available may change over time, and we reserve the right to add, modify, or remove tools at our discretion.

3. User Accounts

To access certain features of our Services, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. Subscription and Payment Terms

Koubou offers subscription plans that provide access to our tools. By subscribing to our Services, you agree to pay the fees indicated for your selected plan.

All payments are processed securely through our payment processor. By providing your payment information, you authorize us to charge your payment method for the subscription fees.

Subscription fees are billed on a recurring basis according to the billing cycle you select when purchasing a subscription. Your subscription will automatically renew unless you cancel it before the next billing cycle.

User accounts are created using Google authentication, providing only the user's display name and email address.

5. Cancellation Policy

You may cancel your subscription at any time by logging into your account and accessing the customer portal via Polar, which is linked from your account page, or by contacting our customer support team at support@koubou.tools.

If you cancel your subscription:

  • You will continue to have access to the Services until the end of your current billing period.
  • We do not provide refunds for partial subscription periods unless required by law.
  • Your license key will be terminated at the end of the billing period.
  • There is no free access tier. To regain access, you must resubscribe, at which point you will receive a new license key.

7. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Koubou or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

8. User Content

You retain ownership of any content you create using our Services. However, by using our Services, you grant us a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, display, reproduce, modify, and distribute your content solely for the purposes of operating and improving our Services.

You represent and warrant that your content does not violate any third-party rights, including intellectual property rights and privacy rights, and that it complies with these Terms and Conditions and all applicable laws.

You agree not to use our Services:

  • For any unlawful purpose or in violation of any applicable laws or regulations.

  • To attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running our Services.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Koubou and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of our Services or your violation of these Terms and Conditions.

13. Changes to Terms and Conditions

We reserve the right to modify these Terms and Conditions at any time. If we make material changes, we will notify you by email or by posting a notice on our website. Your continued use of our Services after such modifications will constitute your acknowledgment of the modified Terms and Conditions and your agreement to abide and be bound by them.

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law provisions.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms and Conditions shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and the judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

16. Termination

We reserve the right to terminate or suspend your account and access to our Services at our sole discretion, without notice, for conduct that we believe violates these Terms and Conditions or is harmful to other users of our Services, us, or third parties, or for any other reason.
